1. Acceptance of Terms

By placing an order with Business Tribune Global Company Ltd. ("BTGC"), you ("Customer") agree to these Terms of Sale. These terms govern all sales and services provided by BTGC, including but not limited to Maintenance, Repair, and Operations (MRO) services, Industrial Vending Machines, Turnaround Services, Online Saudi MRO services, Electric Motor and Valve Repair Services, and other related products and services.

2. Definitions

• “Goods” refers to any tangible products sold by BTGC.
• “Services” refers to any maintenance, repair, or other services provided by BTGC.
• “Customer” refers to the entity purchasing Goods or Services from BTGC.

3. Orders

All orders are subject to acceptance by BTGC. Acceptance is confirmed when BTGC sends a written confirmation or initiates the provision of the Goods or Services.

4. Pricing

• Prices are as quoted by BTGC in writing.
• Prices do not include taxes, duties, shipping, or handling charges unless stated otherwise.
• BTGC reserves the right to adjust pricing based on market conditions, with written notice provided to the Customer.

5. Payment Terms

• Payment terms are net 30 days from the date of invoice unless otherwise agreed in writing.
• Late payments are subject to interest at 1.5% per month or the maximum rate allowed by law.
• BTGC reserves the right to withhold or cancel orders for overdue accounts.

6. Delivery

• Delivery dates are approximate and depend on prompt receipt of Customer-provided information and payment.
• BTGC is not liable for delays due to unforeseen circumstances or events beyond its control.
• Risk of loss or damage to Goods passes to the Customer upon delivery.

7. Warranties

• BTGC warrants that Goods will conform to their specifications and be free from defects in material and workmanship for a specified period.
• Services are warranted to be performed in a professional and workmanlike manner.
• Warranty claims must be made within the warranty period, and BTGC's liability is limited to repair, replacement, or refund at its discretion.

8. Returns and Cancellations

• Goods may be returned within 30 days of delivery, subject to a restocking fee.
• Cancellations of orders for custom or special-order Goods are not permitted.
• Returns require prior authorization from BTGC.

9. Limitation of Liability

• BTGC’s liability is limited to the purchase price of the Goods or Services.
• BTGC is not liable for indirect, incidental, or consequential damages arising from the use or inability to use the Goods or Services.

10. Intellectual Property

• BTGC retains all rights to its intellectual property, including designs, patents, trademarks, and copyrights.
• Customer agrees not to reverse-engineer, replicate, or infringe upon BTGC's intellectual property.

11. Confidentiality

Customer agrees to keep confidential all proprietary or confidential information disclosed by BTGC and not to use it for any purpose other than the fulfillment of the order.

12. Compliance with Laws

Customer agrees to comply with all applicable laws, including export control laws, in the use and resale of Goods or Services.

13. Governing Law

These Terms of Sale are governed by the laws of the Kingdom of Saudi Arabia. Any disputes will be resolved in the courts of Saudi Arabia.

14. Entire Agreement

These Terms of Sale constitute the entire agreement between BTGC and the Customer, superseding all prior agreements or understandings. Any amendments must be in writing and signed by both parties.
